国有股按三倍净资产值减持的方案
各位领导，你们好！
我有一个可使“国有股按三倍净资产值价格减持的方案”，该方案于2002年7月9日、16日、25日分多次上书相关部门，至今没有回音，恳请各位领导能够关注并给以支持。！
此方案的核心是：“由未来的投资者为国有股减持买单”；成功的关键是：“要能大幅度提高上市公司的经营业绩”；我的目标是：“做大、做强上市公司，成为我国第一家进入世界500强的民营企业”。此方案适用于所有上市公司。
我选定的收购对象是“深圳机场股份有限公司”，详细的收购方案在本人网站（ http://mount8848.vip.sina.com/agsg.htm）。收购人安岗的情况附后。
在这里我简单介绍一下收购步骤：
1、深圳机场全体股东将手中所持有的30%股份转让给安岗，做为回报安岗将价值百亿元人民币的《第六代管理方法·安氏理论》注入上市公司深圳机场应用；
2、安岗用所获得的30%流通股与控股股东的70%非流通股进行交换，变成安岗持有全部非流通股（31989万股），而深圳投资公司（深圳机场集团母公司）持有30%的流通股（5400万股）；
3、定向增发不超过2亿股流通股（发行价20元/股），用于收购深圳机场集团有限公司全部资产（按净资产值收购）；
4、收购人安岗承诺：在新的三个会计年度，保证将深圳机场净利润总额翻一番。按增发2亿股后总股本（69989万股）计，每股收益要达到1.5元/股。
按增发2亿股计算，深圳市投资公司共持有流通股25400万股，其净资产价值为54亿元人民币。在经营三年后达到1.5元/股，按现在40倍市盈利计算每股价值为60元人民币。深圳市投资公司持有的深圳机场流通股股份总市值为152.4亿元，比净资产多出近百亿元人民币。如果能看到我的管理能力，十年后我们将管理着国内40家机场。相信深圳市投资公司持有的深圳机场总市值超过2000亿元也是不难的。
下面是收购人安岗介绍：

中国证券市场诞生至今已十余年，发生几百起收购事件。从第一起“宝延事件”开始至今，其收购重组思路基本上是一种路子：“炒作”--“圈钱”。而被收购的上市公司本身并未因收购、重组而发展壮大并带来生机，反而更多的是陷入更大的灾难。现在最热门的“借壳上市”是一种非市场化的市场行为；现我国已加入世贸，全面进入市场经济，因而壳资源的价值将逐渐下降为“零”。在二级市场进行单纯炒作的行为又受到证券法规的监管。今后，对上市公司的收购必须要有全新的投资理念及方法。本人的“经营决策”理论与此发展趋势是一致的，目标是：做大、做强上市公司。
举例说明：在解放战争中，把国民党士兵转变为人民解放军战士的过程就充分说明了思想转变的重要性，在经济学上，这就是理念的改变。在战争年代，被解放过来的国民党士兵人没有变，手中的枪也没有变，所穿的衣服也就只是换一个帽徽，但经过战场思想转化，枪口一转就变成了人民解放军战士，整个人的精神面貌却全变了。在思想上树立了从“为别人卖命”到“为自己革命”。因此，经营管理的核心是调动人的主观能动性，只要这个问题解决了，其他的一切管理问题也就都解决了。

创建华南航空枢纽中心
----“收 购 深 圳 机 场” 的 几 点 补 充 建 议
市有关领导，你们好：
７月９日给你们写了收购函后，你们回函让我按2001年28号文件要求与投资管理公司直接联系。我与他们联系后，他们没有回音、不知何意？本人认为这样重要的决定要他们做主是不太可能的，也是不可能有主意的。我现有一项“创建华南航空枢纽中心计划”打破本人收费原则，现免费提供给市有关领导。
1、深圳本来可以成为区域金融中心，甚至还有可能成为中国的金融中心，由于一个小小的决策失误，所有的这些可能都变成昨天的梦想。现在的世界，股票交易所的合并是大势所趋，减少交易所可以集中人手加强监管，欧洲已开始合并，美国的纽约及纳斯达克也有合并的可能。因此深圳交易所与上海交易所合并也只是时间的问题。
2、8月1日开始的民航机场改革，不只是引进外资那么简单，更重要的是将发生机场之间的重组、兼并，本人坚信国内将由此形成至多6个机场管理集团，也许只有三个[航空公司重组为三家集团就是信号]。并以此集团“核心机场”为龙头形成几大“航空枢纽中心”，谁能取得中心地位，谁就将在未来经济上成为新的发展龙头。深圳机场如果由香港机场控股，那么深圳将再次失去争取航空枢纽中心的可能，请领导三思！！！
3、华南地区由于改革开放时间早，经济上比较发达，而高科技企业的物流又主要以航空运输为主。现在华南地区有二大机场都有可能成为即将形成的“航空枢纽中心”，那就是广州新机场及深圳机场。由于两地直线距离太近、业务完全重叠是实际上的竞争者，但是我们深圳机场有比广州好的优势，那就是可与同香港机场进行业务合作。
如果我们与香港机场合作：香港机场以国际业务为主，而深圳机场以国内业务为主，双方优势互补。深圳机场是上市公司，有集资的优势，在与内地机场收购合作上没有政策限制，加之机制灵活，取代广州成为华南“航空枢纽中心”只是时间问题。
如果我们被香港控股，变成合资公司，由于政策限制，深圳机场按现有的法规在十年内都不可能与广州机场竞争，将难已同内地机场进行合作。就算政策许可，当深圳机场利益与香港机场利益发生冲突时，谁是受害者？？？那肯定是深圳机场。如果这样，珠海机场第二的下场就在向我们招手；同时深圳的高科技也将由于失去主动权而变成不是香港就是广州的加工区，就算是加工区将来能否保住都是问题。
4、本人有一整套如何以航空业务为主开展经营的思路，初步计算可为深圳机场每年多带来5亿至15亿元的纯利润。向现在深圳机场所搞的“机场高尔夫”这样的永远都不可能赢利的低水平、弱智项目，在我的领导下是绝对不会发生。
我们深圳以失去“金融中心”的地位！！！？？？

致深圳市五套班子的公开信 “收购深圳机场方案”
各位领导大家好：
得知深圳市要对深圳宝安机场进行全面改革试点，加之《外商投资民用航空业规定》将于8月1日正式实施。这将给机场领域带来新的发展机遇，同时也伴随着挑战。本人看中了深圳机场股份有限公司，有意收购该公司[收购方案见下面附件]。我们想以深圳机场股份有限公司为龙头，将深圳机场集团整体注入上市公司，方式可用收购资产承担债务或租赁、托管来完成。在完成全面调整之后，再以此为平台通过收购、租赁、托管等方式控制经营国内其他20—40家机场，形成我国第一家机场管理集团。

本人有两套收购上市公司股份的方案供选择。
一、“郑百文公司”股份无偿转让模式
按郑百文公司的办法，上市公司全体股东将其所有的股份之10%无偿给我[股份转让数只有郑百文方案的1/5]，然后本人率领管理精英入主上市公司，并保证在三年任期内完成以下工作目标，不达目标不能享受无偿转让股份：
1、按入主时上市公司企业净资产总值计算，我保证在新的三个会计年度内使企业净资产总值翻一番；
2、按入主时上市公司每股收益计算，保证在新的三个会计年度内使每股收益总增长100%；对每股收益低于0.1元的股票，保证在新的三个会计年度完成后达到每股0.4元 。
为保证各方利益，本人要求所有股东将所持股票10%部分无偿过户工作必须在本人入主前完成。本人所持有的股份按规定由登记公司锁定三年不能买出、不能抵押、不能转让。如果三年内上述目标只完成30%，我将全部股票返还给原来的无偿转让者；如果完成工作量在30%-100%，则按未完成比例返还。
对“ST”、“PT”类股票及每股净资产小于一元的企业，过户比例要另行协商。
本人本着对投资者负责对股民负责的态度，首先保证流通股股东的权利；使我们公司的股票价格始终处于上游水平，即“一流企业，一流股价”的原则。如果达到以上两点目标，对非流通股股东而言，在三年中权益实际增加了53.85%，年平均增长17%。对流通股股民而言、由于上市公司业绩大幅提高，股价自然上升，最少有100%以上涨幅，能给股民带来100%以上资本增值收益。
二、非流通股全部协议收购方案
如果你们是控股股东，有转让股份意向，我们可以协商转让价格。按以下几个步骤进行：
1、由我发表收购要约报告，要求全体股东将所持有股票之30%无偿转让给我；
2、当流通股股东认可无偿转让后，我将所获得流通股全部与控股股东的非流通股交换。实际上是控股股东变为持股30%的流通股股东，而我取代原控股股东成为新的控股股东。
现非流通股3.2亿股股票价值为14.4亿元，流通股30%部分收购前价值为9.86亿元，由于收购原因股价将上涨至30元-40元，流通股30%部分收购后将达到市值17.4亿元至23.2亿元。等于控股股东按每股5.44元--7.25元减持，比原来的“国有股减持方案”为优；
3、将深圳机场集团全部资产注入上市公司，并用增发新股方式以每股20元的价格向深圳机场集团股东定向发行流通股，要求如下；A、以现金方式认购的股份一年后上市，B、以非现金方式认购的股份三年后上市。如果股价在30元-40元，此方式比现在转让可多卖50%-100%；
4、我的任务在“致流通股股东”中有详细介绍。
５、整个方案可达到三赢，Ａ、现有流通股股东并未因股份减少而收入减少反而增加；Ｂ、国有控股股东以高价减持国有股；Ｃ、我、组织者取代国有控股股东成为新的控股股东，所持有股份依然不流通。买单者是能够看到深圳机场前途的新投资人。
